Voting for the Board of the Warringah Bowling Club Ltd is now open.
ALL financial members are encouraged to vote for your Board.
Voting is in person at the Club and closes 4pm Friday 22nd November, 2024
On Wednesday, 9 October 2024 at 6.00 pm, a gathering of Life and Bowling members was held at the Club’s premises (Gathering).
The Gathering was not convened in accordance with the requirements of the Club’s Constitution or the Corporations Act 2001 and was not a ‘meeting of the Club’.
The Gathering purported to transact business including removing and replacing directors of the Club (Business). Again, that Business was transacted in breach of the requirements of the Club’s Constitution and the Corporations Act 2001.
Given the breaches of the requirements of the Club’s Constitution and the Corporations Act in respect of:
- calling a meeting of members of the Club; and
- notifying members of the business of a meeting of the Club,
both the Gathering and the Business were invalid and of no force or effect.
Accordingly, and for the avoidance of any doubt, all members are informed that, subject to any resignations of directors that may have been effected at or since the Gathering, the Board of the Club, as constituted prior to the Gathering, remains the controlling body of the Club and continues to be responsible for the business and affairs of the Club in accordance with the Club’s Constitution and the Corporations Act 2001. The Club remains on course to hold its 2024 AGM in late November.

This club is required by law to make available to its members information that relates to the management and financial administration of the club including:
- A register of disclosures made by the directors and employees of the club.
- Details of the overseas travel made by the directors and employees of the club.
- Details of loans given by the club to employees.
- Details of contracts of employment of top executives.
- Details of the payments made by the club for consultant services.
- Details of legal settlements made by the club with a director or an employee of the club.
- Details of legal fees paid by the club for a director or an employee of the club.
- The club’s annual gaming machine profit.
- The amount applied by the club to community development and support.
- Details of training completed, or exemptions claimed, by a director, club secretary or manager of the club.
AND
The club must provide quarterly financial statements to its board for adoption, and make them available to members, including:
- The club’s profit and loss accounts and trading accounts for the quarter, and
- A balance sheet as at the end of the quarter.
